General Terms and Conditions (GTC) of BRAND SPIDERS GmbH
1. Subject Matter of the Contract
BRAND SPIDERS (hereinafter referred to as the "Agency") provides services in the field of marketing, content production, and related services according to individual agreements with the client.
2. Conclusion of Contract
Contracts are concluded through written agreements or verbal arrangements. The acceptance of orders is made by the Agency in writing or tacitly by commencing work.
3. Services and Scope of Services
The Agency provides its services to the best of its knowledge and belief. The exact scope of services is defined in an individual offer or a written agreement.
4. Prices and Payment Terms
Prices for the Agency's services are individually agreed upon and depend on the nature and scope of the service. Payment terms are also individually defined and indicated in the Agency's invoice. In the absence of individual agreements, invoices are payable within 14 days from the invoice date without deduction.
5. Deadlines and Delivery Dates
The Agency endeavors to meet agreed deadlines and delivery dates. Should this not be possible due to force majeure or unforeseen circumstances, the client will be promptly informed.
6. Warranty and Liability
The Agency guarantees the contractual provision of its services. The Agency is not liable for defects or damages resulting from the improper use of the delivered content by the client.
7. Referencing and Self-Promotion
The client agrees that the Agency may use the results or products of the collaboration for reference purposes and for self-promotion on its own channels, including the Agency's website and social media platforms. The Agency undertakes to adequately consider the client's interests and treat sensitive information confidentially.
8. Intellectual Property and Transfer of Usage Rights
All rights to the content, designs, and materials created by the Agency remain with the Agency unless otherwise expressly agreed in writing. The client only acquires a right to use according to the contractual agreements. Furthermore, the client guarantees to use the content only within the agreed usage rights, media, and periods and to promptly remove published content after the expiration of these rights. The risk of any third-party claims for damages in the event of improper use outside the agreed scope of rights transfers to the client upon delivery of the final data.
9. Confidentiality
The Agency undertakes to treat all information and data of the client confidentially and to use it only for the purpose of fulfilling the order.
10. Final Provisions
Changes or additions to these GTC require written form. Should individual provisions of these GTC be or become invalid, this does not affect the validity of the remaining provisions. German law applies. Place of performance and exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Munich.
These General Terms and Conditions (GTC) complement the Agency's offers and regulate further important aspects of the cooperation between the Agency and its clients.
